Flip The Dog Terms of Use

Welcome to Flip The Dog, an online network that connects you with other teachers, students and professionals involved in the practice, instruction and administration of yoga. The following terms constitute an agreement between you and Flip The Dog, Inc. (the "Company"), the operator of flipthedog.com, flipthedog.net and flipthedog.tv (collectively the “Site”). This agreement governs your use of the Site, both as a casual visitor and a registered member as described below. By accessing or using the Site, you agree to be bound by the terms of this Agreement. To the extent you register on the Site as a member, then in addition to the terms that are applicable to all users of the Site, the terms that apply only to members shall apply to you.

Eligibility

This Site is intended for anyone who is (a) a practicing or aspiring yoga student, (b) a yoga teacher or other professional in yoga or a related industry (c) an authorized representative of an corporation, institution or organization currently providing or interested in providing yoga-related programs, services or products to its employees, members, clients or customers, or (d) a guest as authorized by a Company member or employee.

Children under the age of 13 are prohibited from registering as members. By registering as a member you represent and warrant that you are age 13 or older and that you are an intended user of the site as described above.

Site Content

All content on the Site, including text, graphics, pictures, video, information, music, sound and other files, and their selection and arrangement (the "Site Content"), are the property of the Company, its users or its licensors with all rights reserved. You may not download, modify, copy, distribute, republish, transfer or "mirror", or publicly display the Site Content in any form, for any reason, for commercial or non-commercial purposes, without the Company's prior expressed written permission, except that the foregoing does not apply to your own User Content which is legally posted on the Site.

You are granted permission as a limited license, not a transfer of title, to temporarily download or print one copy of the Site Content for personal, non-commercial transitory viewing only, provided all copyright or other proprietary notations included in those materials are kept intact.

Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

All content and information posted on our site is subject to our Privacy Policy.  Agreement to these terms indicates your acceptance of the privacy policy.

User Conduct

By using this site you agree that you have read, understood, and will abide by the Code of Conduct, a separate document on the Site which sets forth the specific rules governing your posting of User Content and your interctions with the Site, its users and members, and employees of the Company. The principles which guide our conduct are based on the core values of the Company as well as common conventions of online social networking and other web sites. These fall into the following categories:

2. Tolerance for the beliefs and traditions of others
3. Maintaining decency and responsibility
4. Refraining from defamation of others
5. Conducting ethical personal and business interactions with others
6. Communicating with honesty and without deceit
7. Respect for the law
8. Care for others, especially those who are vulnerable

While these principles can be applied subjectively it is the Company's right to apply them as we se fit for the good of the Company, its member community, and the public at large. So please use your sensibilities and faculties when posting content to the site or using any of its features. If you have any questions about a posting, you wish to dispute an administrative action taken against you for violation of the Code, or you wish to report an abuse of the Code by another party, please contact us by email at moderator@flipthedog.com.

Failure to adhere to the Code of Conduct or any of the Terms of Use may result in administrative action, including, but not limited to, suspension or termination of your account, with or without notice, at the sole discretion of the Company. In no case will the Company be obligated or expected to refund any monies paid for membership or services cancelled for failure to adhere to the terms set forth in this Agreement, nor shall the company be obligated to provide any other remedies or compensation as a result of cancellation.

Posting of User Content

You are solely responsible for the information, photos, files, messages, text, music, video, and other content that you upload, publish or display (hereinafter, "post") on or through the Site, or transmit to or share with other users (collectively the "User Content"). You may not post User Content on the Site that you did not create or do not have the right to post. You understand and agree that the Company may, but is not obligated to, review the Site and may delete or remove (without notice) any Site Content or User Content in its sole discretion, for any reason. The Company is not obligated to retain copies of User Content after it has been removed; you are solely responsible for the cost of backing up or replacing any User Content.

The Company does not assert any ownership over your User Content; subject to the rights granted to us in these Terms, you retain full ownership of all of your User Content and any intellectual property rights or other proprietary rights associated with your User Content. When you post User Content to the Site, you authorize and direct us to make such copies thereof as we deem necessary in order to facilitate the posting and storage of the User Content on the Site. By posting User Content to any part of the Site, you automatically grant, and you represent and warrant that you have the right to grant, to the Company an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such User Content for any purpose, commercial, advertising, or otherwise, on or in connection with the Site or the promotion thereof, to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing. You may remove your User Content from the Site at any time. If you choose to remove your User Content, the license granted above will automatically expire, however you acknowledge that the Company may retain archived copies of your User Content.

Liability Disclaimer

1. The materials on the Site are provided "as is". The Company makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, the Company does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.
2. In cases where specific warrantees may be provided, these warrantees will be subject to these Terms of Use and Code of Conduct, and will be rendered null and void for a recipient upon termination of that recipient's account for violation of these Terms.
3. While the benefits of yoga and other related treatments are readily discussed on the internet and in printed media, the company makes no claim of medical expertise and is not providing medical advice. The Company shall not be held liable for any state or action arising from the use of information contained in the site as treatment for illnesses, pain, chronic conditions or other condition. Users of the Site are strongly advised to seek professional medical advise from a trusted and qualified physician before acting on any suggestions or programs described on or through the Site.

Limitations

In no event shall the Company or its members or suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on the Site, even if the Company or an authorized representative of the Company has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Revisions and Errata

The materials appearing on the Site could include technical, typographical, or photographic errors. The Company does not warrant that any of the materials on its web site are accurate, complete, or current. The Company may make changes to the materials contained on its web site at any time without notice. The Company does not, however, make any commitment to update the materials.

Links

The Company has not reviewed all of the external sites linked to the Site and is not responsible for the contents of any such external linked site. The inclusion of any link does not imply endorsement by the Company of the site. Use of any such linked web site is at the user's own risk.

Site Terms of Use Modifications

The Company may revise these terms of use for its web site at any time without notice. By using this web site you are agreeing to be bound by the then current version of these Terms of Use and Code of Conduct.

Governing Law

Any claim relating to the Site shall be governed by the laws of the State of Massachusetts without regard to its conflict of law provisions.
